Terms of Service

Welcome to Koi Shark. These Terms of Service ("Terms") govern your purchase and use of HubSpot consulting, training, and integration services ("Services") provided through www.koishark.com. By purchasing or using our Services, you agree to be bound by these Terms.

1. Services

Koi Shark provides independent HubSpot consulting services, including but not limited to strategy, implementation, training, and integration support. Koi Shark is an independent consultancy and is not owned by, affiliated with, or endorsed by HubSpot, Inc. unless otherwise stated.

2. Fees and Payment

Hourly Rate: Consulting services are billed at a rate as agreed upon in your quote.

Hour Blocks: Hours may be purchased in advance as "blocks." Purchased blocks are drawn down as consulting time is delivered, and time is tracked and reported to the client upon request.

Expiration & Usage: Consulting hours must generally be used within 12 months of the purchase date. Any unused hours at the end of this period expire and are non-refundable.

Non-Refundable: Once purchased, consulting fees are non-refundable, even if the client decides not to utilize the training or integration services.

3. Scheduling and Cancellations ‍

Scheduled meetings must be canceled a minimum of 24 hours in advance. Cancellations made with less than 24 hours' notice, or failure to attend a scheduled meeting, may result in the scheduled time being forfeited and deducted from the client's purchased hours.

4. Client Responsibilities

The effectiveness of consulting relies on your active participation. Clients are often required to designate internal roles, such as an executive sponsor, project manager, and technical resource, to assist with the implementation.

Clients are also responsible for providing timely access to systems, accounts, and information reasonably necessary for Koi Shark to perform the Services, including appropriate access to the client's HubSpot portal where applicable.

5. HubSpot Terms and Policies

Your use of the HubSpot platform is governed by HubSpot's own legal terms, which apply independently of these Terms. Clients are responsible for reviewing and complying with HubSpot's policies, including:

Koi Shark is not responsible for changes to HubSpot's platform, pricing, features, or policies, or for any suspension or termination of a client's HubSpot subscription by HubSpot.

6. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or customer information disclosed by the other party in connection with the Services, and to use such information only as necessary to perform or receive the Services.

7. Intellectual Property ‍

Unless otherwise agreed in writing, materials, templates, and documentation created by Koi Shark in the course of providing the Services are licensed to the client for internal business use. Pre-existing tools, methods, and know-how remain the property of Koi Shark.

8. No Guarantee of Results

Koi Shark will perform the Services in a professional and workmanlike manner. However, business outcomes depend on many factors outside our control, and Koi Shark does not guarantee any specific results, revenue, or performance improvements.

9. Limitation of Liability

To the maximum extent permitted by law, Koi Shark's total liability arising out of or related to the Services shall not exceed the total fees paid by the client for the Services giving rise to the claim. Koi Shark shall not be liable for any indirect, incidental, special, or consequential damages.

10. Changes to These Terms

We may update these Terms from time to time. The most current version will always be posted at www.koishark.com. Continued purchase or use of the Services after changes take effect constitutes acceptance of the revised Terms.
